📋These Terms of Use are effective from 28 May 2026 and apply to all visitors, prospective clients, and institutional clients interacting with LendShield Technologies Private Limited and its products — LendShield Core, LendShield Pulse, and LendShield Guard.

Acceptance of Terms

By accessing or using the website at lendshield.in (the "Website"), or by submitting any enquiry, demo request, or contact form, you ("User", "you", or "your") agree to be bound by these Terms of Use ("Terms"), our Privacy Policy, and any other guidelines or policies referenced herein.

If you are accessing this Website on behalf of a company, institution, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" refers to that entity.

If you do not agree to these Terms, please discontinue use of this Website immediately. Your continued use of the Website after any modification to these Terms constitutes acceptance of the revised Terms.

About LendShield & Our Services

LendShield Technologies Private Limited ("LendShield", "we", "us", or "our") is a technology company incorporated as a private limited company under the Companies Act, 2013, with its registered office in Ahmedabad, Gujarat, India.

LendShield develops and operates B2B lending technology platforms exclusively for regulated financial institutions in India, including:

  • LendShield Core — A digital lending advisory and transformation practice for NBFCs, Banks, HFCs, and Fintechs.
  • LendShield Pulse — A real-time portfolio monitoring and risk intelligence platform.
  • LendShield Guard — A regulatory compliance and reporting automation platform for NBFC returns, audit trails, and statutory deadlines.

Technology Provider — Not a Financial Institution

LendShield Technologies Private Limited is a technology service provider. We are not a bank, Non-Banking Financial Company (NBFC), housing finance company, payment aggregator, or any other regulated financial institution under the Reserve Bank of India Act, the Companies Act, or any other applicable law. Nothing on this Website constitutes a lending offer, credit facility, investment advice, or financial product of any kind.

Access to and use of our platform products is governed exclusively by the Master Service Agreement (MSA) or equivalent agreement entered into separately between LendShield and each institutional client. These Terms govern only the use of this Website and do not create any contractual obligation for platform services.

Website Use & Permitted Conduct

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and browse this Website solely for the purposes set out below. All other uses are prohibited unless expressly authorised in writing by LendShield.

Permitted Uses
  • Browsing product information, features, and pricing for business evaluation
  • Submitting a demo request, contact form, or sales enquiry
  • Downloading publicly available materials (e.g., brochures, case studies) for internal business use
  • Accessing the Website to learn about LendShield's regulatory compliance capabilities
  • Sharing Website links with colleagues or institutional stakeholders
Prohibited Conduct

  • Reverse engineering, decompiling, or copying any part of LendShield's software or platform

Section 04

Platform Services & Client Obligations

Access to and use of LendShield's software platforms (Core, Pulse, Guard) is governed exclusively by the executed Master Service Agreement between LendShield and the institutional client. The following obligations apply to all platform users:

Authorised Access OnlyPlatform access credentials are issued to named, authorised users only. Sharing of login credentials is strictly prohibited. Clients are responsible for all activity occurring under their account.
Data AccuracyClients must ensure that all data entered into LendShield platforms is accurate, complete, and lawfully obtained. LendShield is not responsible for errors arising from inaccurate client-submitted data.
Regulatory ComplianceInstitutional clients remain solely responsible for their own compliance with RBI regulations, PMLA, KYC norms, DPDPA 2023, and all other applicable laws. LendShield's platform facilitates — but does not substitute — the client's own compliance obligations.
Acceptable UsePlatform features must be used solely for lawful financial services operations. Any attempt to use the platform for fraud, money laundering, or circumvention of regulatory requirements will result in immediate suspension and reporting to relevant authorities.
Incident ReportingClients must promptly notify LendShield of any suspected security incident, unauthorised access, or data breach involving the platform. Notification obligations under the IT Act and DPDPA 2023 remain the client's independent responsibility.
Uptime & SLAsService availability, uptime commitments, and support response times are governed by the SLA annexed to the Master Service Agreement. Website-level terms do not create any SLA obligations.

Intellectual Property Rights

All intellectual property rights in and to this Website and LendShield's platforms — including but not limited to source code, object code, algorithms, UI/UX designs, database schemas, trademarks, trade names, service marks, logos, content, and documentation — are and shall remain the exclusive property of LendShield Technologies Private Limited or its licensors.

"LendShield", "LendShield Core", "LendShield Pulse", and "LendShield Guard" are trade names of LendShield Technologies Private Limited. Unauthorised use of these marks is prohibited.

The platform software is proprietary. Reverse engineering, decompiling, disassembly, or creating derivative works is strictly prohibited.

Outputs generated by LendShield platforms on behalf of clients are licensed to the client for internal use only and may not be sub-licensed or sold.

Design Assets

All visual design elements, UI components, and brand assets remain LendShield's exclusive property and may not be copied or imitated.

Algorithms & Models

Risk scoring models, compliance logic, and analytical algorithms embedded in LendShield's platforms are proprietary trade secrets.

Nothing in these Terms transfers any intellectual property right to the User. Any feedback, suggestions, or ideas submitted to LendShield regarding the Website or platform may be freely used by LendShield without obligation, attribution, or compensation.

Section 06

Confidentiality

In the course of evaluating LendShield's products — including during demos, product walkthroughs, and pre-sales discussions — you may be exposed to Confidential Information of LendShield, including but not limited to: product roadmaps, technical architecture, pricing structures, business strategies, and unreleased features.

You agree to: (a) hold all such Confidential Information in strict confidence; (b) not disclose it to any third party without LendShield's prior written consent; (c) use it solely to evaluate LendShield's products for your own internal purposes; and (d) apply at least the same degree of care to protect it as you apply to your own confidential information (but no less than reasonable care).

  • Confidentiality obligations do not apply to information that is or becomes publicly available through no fault of yours, or that you can demonstrate was independently developed by you.
  • Confidentiality obligations survive termination or expiry of any agreement between you and LendShield for a period of 3 years.
  • Disclosure required by law, court order, or regulatory direction is permitted, provided LendShield is notified promptly (to the extent lawfully permitted) before disclosure.

Personal data shared with LendShield through the Website is handled in accordance with our Privacy Policy.

Limitation of Liability

To the fullest extent permitted by applicable Indian law, LendShield Technologies Private Limited, its directors, employees, agents, and licensors shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, goodwill, or business opportunity — arising out of or in connection with your use of this Website or reliance on its content.
  • Any loss or damage arising from system downtime, cyber incidents, data breaches caused by third parties, or force majeure events beyond LendShield's reasonable control.
  • Any loss arising from your reliance on product descriptions, pricing information, or regulatory summaries on this Website, which are provided for informational purposes only.
  • Actions or omissions of third-party service providers, credit bureaux, regulators, or other parties referenced on this Website.
Website Use Liability Cap
₹10,000

For claims arising solely from use of this Website (not from a platform service agreement), LendShield's total aggregate liability to you shall not exceed ₹10,000 (Indian Rupees Ten Thousand). For platform service disputes, liability is governed by the cap in your Master Service Agreement.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, the exclusions above apply to the fullest extent permitted by applicable law.

Section 09

Indemnification

You agree to indemnify, defend, and hold harmless LendShield Technologies Private Limited and its directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, penalties, fines, costs, and expenses (including reasonable legal fees) arising from:

  • Your violation of any provision of these Terms or any applicable law or regulation.
  • Your infringement or misappropriation of any intellectual property, privacy, or other rights of any third party.
  • Any data, information, or content you submit through this Website that is false, misleading, defamatory, or unlawful.
  • Your unauthorised use of, or access to, any LendShield platform, system, or data.
  • (For institutional clients) Any regulatory penalty, enforcement action, or third-party claim arising from your institution's failure to comply with applicable laws in connection with your use of LendShield's platform.

LendShield reserves the right, at its own expense, to assume exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with LendShield's defence of that claim.

Section 10

Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

Step 1 — Amicable ResolutionEither party may raise a dispute by written notice to the other (email to office@lendshield.in with subject "Formal Dispute Notice"). Both parties shall attempt in good faith to resolve the dispute through senior management discussions.30 days from notice
Step 2 — ArbitrationIf the dispute is not resolved amicably, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties.Commenced within 15 days of failure of Step 1
Seat & VenueThe seat and venue of arbitration shall be Ahmedabad, Gujarat, India. Proceedings shall be conducted in English.
CourtsSubject to arbitration, the courts at Ahmedabad, Gujarat shall have exclusive jurisdiction over any disputes arising from these Terms that are not subject to arbitration.

Platform Dispute Resolution

Disputes arising from platform services (Core, Pulse, Guard) under a Master Service Agreement are governed by the dispute resolution clause in that MSA, which may differ from the above. The above procedure applies specifically to disputes arising from Website use and these Terms.

Section 11

Amendments to These Terms

LendShield reserves the right to modify, update, or replace any part of these Terms at any time, at its sole discretion. When we make material changes, we will:

  • Update the "Effective Date" displayed at the top of this page.
  • Post a notice on our website for a minimum of 30 days prior to the changes taking effect.
  • Send an email notification to registered users and active institutional clients where the change materially affects them.

Your continued use of this Website after the effective date of any revised Terms constitutes your binding acceptance of those changes. If you do not agree to the revised Terms, you must discontinue use of the Website.

We encourage you to review these Terms periodically. The most current version will always be published at lendshield.in/terms-of-use.
